Terms of Service

Terms of Service

Effective: 9 October 2026

These Terms of Service (“Terms”) are an agreement between you and Mirat Aubakirov, who runs Advicey from Kazakhstan (“Advicey”, “we”, “us”) about your use of the Advicey web app at app.advicey.io, the Advicey apps for macOS and Windows and our website advicey.io (together, the “Service”). If you use the Service for a company or other organisation, you accept these Terms on its behalf, and “you” includes that organisation.

1. Acceptance of these Terms

By creating an account or using the Service, you agree to these Terms and confirm that you have read our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

(a) You must be at least 18 years old.

(b) The Service is for business use, such as sales calls with customers and prospects. It is not offered to consumers for personal, family or household use.

(c) If you accept these Terms for an organisation, you confirm that you have authority to bind it.

(d) You may not use the Service if the laws of the United States or another country that applies to you, including sanctions laws, prohibit it.

3. The Service

Advicey is a real-time sales assistant. It provides:

  • speech-to-text of your sales calls, done on your computer;

  • AI-generated suggestions during live calls;

  • call plans before a call, and transcripts, summaries, commitments, follow-up drafts and which suggestions you used after it;

  • deal memory: facts from earlier calls about a deal, company or contact, so later calls build on earlier ones;

  • a knowledge base and sales methodology that you add;

  • integrations with CRMs you choose to connect;

  • company accounts with owners, admins and members;

  • a web app, and desktop apps for macOS and Windows.

We may add, change or remove features. If we remove a feature that is a main part of a paid plan, we will tell you at least 30 days before.

4. Your account

(a) You create an account with your name, email address and company name, and either a password or a Google account.

(b) Give accurate information and keep it up to date.

(c) Keep your sign-in details secure and do not share your account. You are responsible for what happens under your account. Tell us at info@advicey.io as soon as you suspect someone else has used it.

5. Personal and company accounts

(a) A personal account is used by one person. A company account has owners, admins and members. Owners and admins can add and remove members, assign seats and hours, and see members’ calls, deals, deal memory, open commitments and hours used, and the company’s knowledge base and methodology.

(b) Calls made in a company account belong to the company. When a member leaves, the company keeps their calls.

(c) The company is responsible for how its members use the Service. We process its call content and the other data listed in Annex A of section 21 on its behalf. We handle account, usage and diagnostic data ourselves, as our Privacy Policy describes.

6. Plans, hours and payment

(a) Paid plans are sold by our reseller, Dodo Payments (“Dodo”), which is the merchant of record. When you buy a plan or extra hours, you buy them from Dodo under its Buyer Terms, and we provide the Service to you under these Terms. Dodo charges your payment method, sends receipts and invoices, collects sales tax and VAT, and its name may appear on your card statement.

(b) Plans are charged monthly, in advance, per seat. Each seat includes a monthly allowance of call hours. The plans, their prices and what each includes are shown on advicey.io and in the app before you buy. Unused seat hours expire at renewal.

(c) Extra hours are bought in blocks of at least 5 and last 12 months from purchase. In a company account, owners and admins buy them for the team, and members use them after their own seat hours. When hours run out, new calls cannot start until hours are added or the period renews. A call already in progress always finishes.

(d) Each seat runs one live call at a time. A call stops and is saved after 15 minutes in which neither side is heard speaking.

(e) Plans renew automatically each month at the price then in effect until you cancel. You can cancel at any time in the app under Billing; to avoid the next charge, cancel at least 48 hours before your renewal date. The cancellation takes effect at the end of the month you paid for, and you keep access until then.

(f) We will tell you at least 30 days before a price change applies to your plan. It takes effect at your next renewal after that notice.

(g) Refunds follow our Refund Policy: your first payment is refunded in full if you ask within 7 days of it and have used less than 2 call hours. Otherwise fees are not refundable, except for a billing mistake on our side or where the law requires a refund. Dodo pays refunds to the original payment method.

(h) Prices do not include taxes. Dodo adds any sales tax, VAT or similar tax that applies where you are, and shows it before you pay. Business customers can enter their tax ID when they buy.

(i) If a payment fails, Dodo may try it again. New calls cannot start until the payment succeeds, and the plan ends if it stays unpaid.

(j) A Custom plan is agreed in writing. Where that agreement differs from this section, the agreement applies.

7. Recording and consent

(a) Many laws protect conversations from being recorded, transcribed or analysed without notice or consent. They include US federal and state wiretapping and eavesdropping laws, some of which require the consent of every participant, and privacy and data protection laws in other countries.

(b) Before Advicey transcribes a call, you must tell every participant that the call is being transcribed and analysed with AI, and obtain every consent the law requires where each participant is located. Advicey does not notify participants for you.

(c) If a participant objects, stop Advicey for that call.

(d) You are responsible for meeting these duties, and you indemnify Advicey as section 16 describes.

8. Acceptable use

You must not:

(a) use the Service in a way that breaks the law or anyone’s rights, including privacy, data protection, recording, employment and consumer protection laws;

(b) transcribe or analyse a call without the notice and consent section 7 requires;

(c) use the Service on calls you are not taking part in, or to monitor anyone in secret;

(d) use the Service’s output as the only basis for decisions about a person’s employment, pay or discipline;

(e) upload content you have no right to use, or content that is unlawful, defamatory or infringing;

(f) copy, decompile, reverse engineer or try to extract the source code or models of the Service, except where the law allows it;

(g) access the Service by automated means other than the integrations we offer, or scrape it;

(h) probe, test or break its security, interfere with its operation, or get around usage limits;

(i) resell, rent or sublicense the Service, or share an account between people;

(j) use the Service, or its output, to build a competing product or to train AI models;

(k) upload malware or anything designed to harm the Service or its users.

9. AI-generated content

(a) Suggestions, plans, summaries, follow-ups and other output are generated by AI. They can be wrong, incomplete or out of date. Check them before relying on them, especially prices, contract terms and legal, financial or technical statements.

(b) You decide what to say to your buyers and what to send. You are responsible for it.

(c) Output is not legal, financial or other professional advice. Other users may receive similar output.

10. Your content

(a) “Your Content” means what you or your organisation put into the Service (company information, knowledge base, methodology, notes and CRM data) and what the Service creates from your calls (transcripts, suggestions and which of them were used, plans, summaries, commitments, follow-ups, answers to your questions, deal memory and sales tips). As between you and us, you or your organisation own Your Content.

(b) You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content only to provide, secure and support the Service for you and your organisation, and as the law requires.

(c) We do not sell Your Content, use it for advertising, or use it to train AI models, ours or anyone else’s. Our AI providers may not use it to train their models, and keep it only for a limited time to detect abuse.

(d) We use call content to test and improve the Service’s AI only if your organisation, or you for a personal account, agrees in writing, and only for calls made while that agreement is in place. You can withdraw it at any time by writing to info@advicey.io.

(e) We collect usage and diagnostic data about how the Service is used and performs, such as features used, timings, errors, crash reports and how many suggestions were used on each call. This data contains no call content. We use it to run, secure and improve the Service, and we may publish statistics that identify no person or customer.

(f) You confirm that you have the rights and consents needed for Your Content, including for the personal data of the people on your calls.

(g) Section 21 sets out how we process, for every account, the personal data of the people on your calls and the other personal data we process for you.

11. Our intellectual property

(a) We own the Service, including its software, models, designs and brand. While your account is active, we give you a limited, non-exclusive, non-transferable licence to install and use the Advicey apps for macOS and Windows to use the Service. You get no other rights. If you get the Windows app from the Microsoft Store, the Store’s terms also cover downloading it, and these Terms cover using it.

(b) If you send us feedback or ideas, we may use them without any duty to you.

12. Third-party services

(a) The Service relies on third parties, including AI providers, hosting, payments and email. Section 5 of our Privacy Policy lists them.

(b) Services you connect, such as a CRM or Google sign-in, are governed by their own terms. You authorise us to exchange data with them as you set up. We are not responsible for third-party services.

13. Availability and changes

(a) We work to keep the Service available but do not promise it will be uninterrupted or error-free. Maintenance and outages at our providers can affect it.

(b) An older version of a desktop app may stop working; you may need to update it to keep using the Service.

(c) Features we label beta or preview are provided as they are and may change or end.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, ADVICEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

15. Limitation of liability

(a) TO THE EXTENT THE LAW ALLOWS, ADVICEY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DEALS, DATA OR GOODWILL.

(b) ADVICEY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO ADVICEY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED US DOLLARS (US$100).

(c) Some laws do not allow these limits. Where they do not, the limits apply as far as the law allows.

16. Indemnification

You will defend and indemnify Advicey, its officers, employees and agents against claims, losses and costs, including reasonable legal fees, arising from Your Content, from your use of the Service in breach of these Terms or the law, including recording, wiretapping and data protection laws, and from your dealings with the people on your calls.

17. Suspension and termination

(a) You can stop using the Service at any time. To close your account and delete your data, write to info@advicey.io.

(b) We may suspend or close your account if you breach these Terms, do not pay, put the Service or others at risk, or if the law requires it. We will tell you first where that is reasonable.

(c) For 30 days after your account closes, you can ask us for a copy of your data. We delete your personal data within 90 days of closure, except what the law requires us to keep and the records listed in section 7 of our Privacy Policy. In a company account, the company decides what happens to its calls.

(d) Sections 6 (for amounts owed), 7(d), 9, 10, 11(b), 14 to 18 and 20 survive termination, and section 21 lasts as long as we process Customer Personal Data.

18. Dispute resolution

(a) Before starting a claim, write to info@advicey.io and give us 30 days to try to resolve it.

(b) These Terms are governed by the laws of Kazakhstan. The courts of Kazakhstan have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Either party may still ask any competent court for an injunction to protect intellectual property.

(c) You and Advicey bring claims only individually, and not as a plaintiff or class member in any class, collective or representative action, where the law allows this waiver.

(d) If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may also bring a claim in its courts.

19. Changes to these Terms

(a) We may update these Terms. We will post the new version here with a new date.

(b) We will tell you about a material change by email or in the Service at least 30 days before it takes effect.

(c) Using the Service after a change takes effect means you accept it. A change that allows a new use of Your Content you already gave us applies to it only if you agree.

20. General

(a) These Terms, including the Data Processing Terms in section 21, are the whole agreement between you and us about the Service. The Privacy Policy explains how we handle personal data. If section 21 conflicts with the rest of these Terms, section 21 wins on Customer Personal Data.

(b) You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.

(c) If a court finds part of these Terms unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.

(d) Neither party is liable for delays caused by events outside its reasonable control.

(e) We send notices to the email address on your account. Send notices to us at info@advicey.io.

21. Data Processing Terms

This section applies whenever Advicey processes personal data on your behalf, whether you use a company account or a personal account. In it, “Customer” means you, or the organisation you accept these Terms for.

21.1 Definitions

“Data Protection Laws”: the EU General Data Protection Regulation (GDPR), the UK GDPR and Data Protection Act 2018, the Swiss Federal Act on Data Protection, the California Consumer Privacy Act (CCPA) and any other law that applies to the Customer Personal Data.

“Customer Personal Data”: personal data Advicey processes on Customer’s behalf to provide the Service, as Annex A describes.

“Subprocessor”: a third party Advicey engages to process Customer Personal Data.

“Security Incident”: a breach of security leading to the accidental or unlawful destruction, loss, alteration or unauthorised disclosure of, or access to, Customer Personal Data.

Personal data, controller, processor, data subject and processing have the meanings the GDPR gives them.

21.2 Roles

(a) Customer is the controller of Customer Personal Data, or a processor acting for its own controller. Advicey is Customer’s processor, and its service provider under the CCPA.

(b) Advicey is a controller of account data, usage data, AI processing records and diagnostics it uses to run and improve the Service, as the Privacy Policy describes. This section does not cover that data.

(c) Customer is responsible for the lawfulness of the processing, including telling call participants and getting their consent as section 7 requires.

21.3 Instructions

(a) Advicey processes Customer Personal Data only on Customer’s documented instructions. These are these Terms, Customer’s use and settings of the Service, and other written instructions Advicey accepts.

(b) Advicey tells Customer if it believes an instruction breaks Data Protection Laws.

(c) Advicey processes Customer Personal Data otherwise only where the law requires it, and tells Customer first unless the law forbids that.

(d) Advicey uses call content to test and improve the Service’s AI only if Customer agrees in writing, and only for calls made while that agreement is in place. Customer may withdraw it at any time.

21.4 Personnel

Advicey gives access to Customer Personal Data only to staff who need it to provide the Service and who are bound by confidentiality. Staff see call content only as section 5 of the Privacy Policy describes, and each view of call content in Advicey’s admin tools is logged.

21.5 Security

Advicey maintains the technical and organisational measures in Annex B. It may update them as long as the overall protection does not decrease.

21.6 Subprocessors

(a) Customer authorises Advicey to engage the Subprocessors listed in section 5 of the Privacy Policy.

(b) Advicey tells Customer (for a company account, its owners) by email at least 30 days before adding or replacing a Subprocessor.

(c) Customer may object on reasonable data protection grounds within 30 days of that notice. The parties will try in good faith to resolve the objection. If they cannot, Customer may end the affected part of the Service and receive a pro-rata refund of fees prepaid for the period after it ends.

(d) Advicey binds each Subprocessor by written contract to the data protection obligations that Article 28(3) of the GDPR requires, and remains responsible for its Subprocessors’ performance.

21.7 Assistance

(a) Advicey forwards to Customer any request it receives from a data subject about Customer Personal Data, and does not answer it except on Customer’s instructions. Advicey helps Customer respond to such requests through the Service’s features and reasonable further assistance.

(b) Advicey gives reasonable help with data protection impact assessments and consultations with supervisory authorities, as far as they concern the Service.

21.8 Security incidents

(a) Advicey notifies Customer without undue delay, and within 48 hours, after becoming aware of a Security Incident.

(b) The notice describes what is known: the nature of the incident, the categories and approximate number of data subjects and records concerned, its likely consequences, and the measures taken or proposed. Advicey updates Customer as it learns more.

(c) A notice is not an admission of fault.

21.9 Deletion and return

(a) Each user can delete their own calls in the Service. Customer (for a company account, its owners) can ask Advicey to delete any other call, including calls of members who have left.

(b) After the Service ends, Advicey gives Customer a copy of Customer Personal Data on request during the first 30 days, and deletes it within 90 days, unless the law requires Advicey to keep it.

(c) Copies in backups are deleted as the backups expire, as Annex B describes.

21.10 Audits

(a) Once a year, Advicey makes available the information needed to show it meets this section, including answers to a reasonable security questionnaire.

(b) If that is not enough, or a supervisory authority requires it, Customer may audit Advicey once a year, and after a Security Incident or if there are signs that Advicey is not meeting this section, itself or through an independent auditor bound by confidentiality. Customer gives 30 days’ notice, the audit takes place during business hours at Customer’s cost, and it does not reach other customers’ data.

21.11 International transfers

(a) Advicey stores Customer Personal Data in Frankfurt, Germany. Advicey is run from Kazakhstan and may access the data from there. Subprocessors may process it in the countries listed in section 5 of the Privacy Policy.

(b) Where Customer Personal Data subject to the GDPR is transferred to a country without an adequacy decision, the Standard Contractual Clauses adopted by Commission Implementing Decision (EU) 2021/914 (the “Clauses”) apply and are incorporated by reference, as follows:

  • Module 2 applies where Customer is a controller, and Module 3 where Customer is a processor.

  • Clause 7 (docking clause) applies.

  • Clause 9: option 2 (general written authorisation) applies, with 30 days’ notice.

  • Clause 11: the optional redress wording does not apply.

  • Clauses 17 and 18: the law and courts of Ireland.

  • Annex I.A: the data exporter is Customer, as identified in its account; the data importer is Mirat Aubakirov (Advicey), Mangilik El 48, Astana, Kazakhstan, info@advicey.io.

  • Annex I.B: Annex A of this section.

  • Annex I.C: the supervisory authority competent for Customer’s establishment in the EU or, if it has none, for its representative under Article 27 of the GDPR.

  • Annex II: Annex B of this section. Annex III: the list in section 5 of the Privacy Policy.

(c) For transfers subject to the UK GDPR, the International Data Transfer Addendum (version B1.0) issued by the UK Information Commissioner applies with those Clauses, its tables completed by this section, and neither party may end it under its section 19.

(d) For transfers subject to Swiss law, the Clauses apply with the Federal Data Protection and Information Commissioner as the competent authority, references to member states include Switzerland, references to the GDPR include the Swiss Federal Act on Data Protection, and Swiss data subjects may bring claims in Switzerland.

(e) Advicey ensures that transfers to its Subprocessors are covered by the Standard Contractual Clauses, the EU-US Data Privacy Framework or another valid mechanism.

21.12 CCPA

As Customer’s service provider, Advicey will not sell or share Customer Personal Data; retain, use or disclose it outside its direct business relationship with Customer or for any purpose other than the business purposes in these Terms; or combine it with personal information from other sources except as the CCPA allows. Advicey complies with the CCPA, gives the same level of protection the CCPA requires, and tells Customer if it can no longer meet these obligations. Customer may take reasonable steps to stop and remedy unauthorised use.

21.13 Liability, precedence and term

(a) Advicey’s liability under this section is subject to section 15, except where Data Protection Laws or the Standard Contractual Clauses do not allow it.

(b) If this section conflicts with the rest of these Terms, this section wins on Customer Personal Data. If it conflicts with the Standard Contractual Clauses, the Clauses win.

(c) This section lasts as long as Advicey processes Customer Personal Data.

Annex A: Details of the processing

Subject matter: providing the Advicey service to Customer.

Duration: the term of these Terms, plus up to 90 days for deletion.

Nature and purpose: providing the Service’s features to Customer’s users, including storing call transcripts made on their computers, producing suggestions, summaries and other content with AI models, exchanging data with CRMs Customer connects, sending account and invitation emails, and support.

Data subjects: Customer’s users; the people they talk to on calls, such as prospects, customers and partners; contacts in Customer’s CRM; people named in Customer’s content.

Personal data: names and business contact details (email address, phone number, company, job title); what call participants say, as text, and facts and short quotes drawn from it; CRM contacts, deals and notes; notes and content Customer adds; users’ names and email addresses as they appear in calls and company views.

Special categories: not intended. Conversations may mention them incidentally; Customer should not use Advicey for calls about them.

Frequency: continuous while Customer uses the Service.

Retention: calls until a user deletes them, Customer asks Advicey to, or the account closes. Hidden deal facts, deals and sales tips until the account closes, or sooner on request. After closure, deleted within 90 days. Backups are deleted as they expire (Annex B).

Annex B: Security measures

Hosting: Amazon Web Services in Frankfurt, Germany (eu-central-1). The database is not reachable from the internet and has deletion protection.

Audio: speech is turned into text on the user’s computer, Mac or Windows PC; no audio leaves it.

Access: production servers reached through AWS Systems Manager, without open remote login ports; secrets kept in AWS Secrets Manager; staff access limited to those who need it; each view of call content in Advicey’s admin tools logged.

Logs: server logs leave out call content, except that an error message from a CRM can repeat part of a note being sent.

Backups: automated database backups kept 7 days; copies made before a database update kept 30 days in encrypted storage.

Monitoring: alarms on service health and errors.

Changes: automated test suites run before each release.

Incidents: handled and notified as 21.8 describes.
