ACCEPTANCE OF TERMS
By accessing or using the Advicey platform ("Service"), including the web
application at app.advicey.io and the macOS desktop application
(collectively, the "Platform"), you ("User," "you," or "your") agree
to be bound by these Terms of Service ("Terms"). If you do not agree to these
Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and Advicey AI
("Advicey," "we," "us," or "our"), a company registered in the United States.
ELIGIBILITY
You must be at least 18 years of age to use the Service. By using the Service,
you represent and warrant that you are at least 18 years old and have the legal
capacity to enter into these Terms. If you are using the Service on behalf of an
organization, you represent that you have the authority to bind that
organization to these Terms.
DESCRIPTION OF SERVICE
Advicey is an AI-powered real-time sales call coaching platform that provides:
a) Real-time transcription of sales calls using speech-to-text technology;
b) AI-generated sales advice and coaching during live calls;
c) Post-call transcripts, analytics, and summaries;
d) Integration with third-party CRM systems (including HubSpot,
GoHighLevel and SalesForce) for exporting call notes and managing contacts;
f) Customizable sales methodology and knowledge base uploads;
g) Multi-platform access via web application and macOS desktop application.
ACCOUNT REGISTRATION AND SECURITY
a) You must create an account to use the Service by providing a valid email
address, password, full name, and company name.
b) You are responsible for maintaining the confidentiality of your account
credentials, including your password and any authentication tokens.
c) You are responsible for all activities that occur under your account.
d) You must notify us immediately at info@advicey.io if you become aware of
any unauthorized use of your account.
e) We reserve the right to suspend or terminate accounts that we reasonably
believe have been compromised.
SUBSCRIPTIONS AND USAGE LIMITS
a) The Service is available through paid subscription plans only. There is no
free tier or free trial.
b) Each subscription includes a monthly allowance of transcription minutes.
Usage beyond the allocated minutes may result in service limitations until
the next billing cycle or until additional minutes are purchased.
c) Subscription details, including duration, pricing, and minute allowances,
are communicated at the time of purchase.
d) Subscriptions are billed in advance for the applicable subscription period.
e) Advicey reserves the right to modify subscription pricing and features
with reasonable prior notice. Changes will take effect at the start of
your next billing cycle.
ACCEPTABLE USE
You agree not to:
a) Use the Service for any unlawful purpose or in violation of any applicable
local, state, national, or international law;
b) Record, transcribe, or process calls without obtaining all necessary
consents from all parties to the call as required by applicable law,
including but not limited to federal and state wiretapping and
eavesdropping laws;
c) Use the Service to process calls containing sensitive personal data
(such as health information, financial account numbers, or Social
Security numbers) without appropriate safeguards and legal basis;
d) Attempt to reverse-engineer, decompile, or disassemble any portion of
the Service;
e) Interfere with or disrupt the integrity or performance of the Service;
f) Attempt to gain unauthorized access to the Service, other accounts,
or related systems or networks;
g) Use the Service to transmit any malicious code, viruses, or harmful data;
h) Resell, sublicense, or redistribute the Service without our prior
written consent;
i) Use automated scripts, bots, or crawlers to access the Service except
through our provided APIs;
j) Upload methodology files or knowledge base content that infringes on
third-party intellectual property rights.
AI-GENERATED CONTENT DISCLAIMER
a) The Service uses artificial intelligence to generate sales advice,
coaching suggestions, objection handling tips, and call analysis.
b) AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND
DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, OR BUSINESS ADVICE.
c) AI-generated advice may be inaccurate, incomplete, or inappropriate for
your specific situation. You should exercise your own judgment and
discretion when using any AI-generated content.
d) Advicey does not guarantee the accuracy, reliability, or suitability of
any AI-generated content for any particular purpose.
e) You are solely responsible for any decisions or actions you take based
on AI-generated content provided by the Service.
INTELLECTUAL PROPERTY
a) The Service, including its software, design, text, graphics, logos, and
all other content created by Advicey, is the property of Advicey AI and
is protected by United States and international intellectual property laws.
b) Your subscription grants you a limited, non-exclusive, non-transferable,
revocable license to use the Service for its intended purpose during
the term of your subscription.
c) You retain ownership of all content you create or upload through the
Service, including call transcripts, notes, comments, methodology files,
and company information ("User Content").
d) By using the Service, you grant Advicey a limited license to process,
store, and transmit your User Content solely for the purpose of
providing and improving the Service.
THIRD-PARTY SERVICES AND INTEGRATIONS
a) The Service integrates with third-party services including but not
limited to OpenAI, AssemblyAI, HubSpot, GoHighLevel, and Google
Calendar.
b) Your use of these third-party integrations is subject to the respective
third party's terms of service and privacy policies.
c) Advicey is not responsible for the availability, accuracy, or practices
of any third-party services.
d) When you connect a third-party service (such as a CRM or calendar), you
authorize Advicey to access and interact with your data on that service
as necessary to provide the integration features.
e) You may disconnect third-party integrations at any time through your
account settings.
SERVICE AVAILABILITY AND MODIFICATIONS
a) Advicey strives to maintain the availability of the Service but does not
guarantee uninterrupted or error-free operation.
b) The Service depends on third-party infrastructure and AI providers. We
are not responsible for outages or degraded performance caused by
third-party service disruptions.
c) We reserve the right to modify, update, or discontinue any feature of
the Service at any time with reasonable notice.
d) Scheduled maintenance will be communicated in advance when practicable.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
a) ADVICEY AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT
BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA,
BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR
USE OF OR INABILITY TO USE THE SERVICE.
b) ADVICEY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR
RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU
PAID TO ADVICEY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING
RISE TO THE CLAIM.
c) ADVICEY IS NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR RELIANCE
ON AI-GENERATED CONTENT, THIRD-PARTY INTEGRATIONS, OR TRANSCRIPTION
ACCURACY.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Advicey AI, its officers,
directors, employees, and agents from and against any claims, liabilities,
damages, losses, costs, and expenses (including reasonable attorneys' fees)
arising out of or related to:
a) Your use of the Service;
b) Your violation of these Terms;
c) Your violation of any applicable law, including call recording and
consent laws;
d) Your User Content;
e) Any dispute between you and a third party related to the Service.
TERMINATION
a) You may terminate your account at any time by contacting us at
info@advicey.io.
b) Advicey may suspend or terminate your account at any time for violation
of these Terms, with or without notice.
c) Upon termination, your right to use the Service ceases immediately.
d) Advicey may retain your data for a reasonable period following
termination for legal and operational purposes, after which it will
be deleted in accordance with our Privacy Policy.
DISPUTE RESOLUTION
a) These Terms are governed by the laws of the United States and the State
of Delaware, without regard to conflict of law principles.
b) Any dispute arising out of or relating to these Terms or the Service
shall first be attempted to be resolved through good-faith negotiation
between the parties.
c) If negotiation fails, disputes shall be resolved through binding
arbitration in accordance with the rules of the American Arbitration
Association, conducted in the English language.
d) You agree to waive any right to participate in a class action lawsuit
or class-wide arbitration against Advicey.
MODIFICATIONS TO TERMS
a) Advicey reserves the right to modify these Terms at any time.
b) Material changes will be communicated via email or through the Service.
c) Your continued use of the Service after such modifications constitutes
your acceptance of the updated Terms.
d) If you do not agree to the modified Terms, you must stop using the
Service and terminate your account.
MISCELLANEOUS
a) If any provision of these Terms is found to be unenforceable, the
remaining provisions shall remain in full force and effect.
b) Advicey's failure to enforce any provision of these Terms shall not be
deemed a waiver of that provision.
c) These Terms, together with the Privacy Policy and Refund Policy,
constitute the entire agreement between you and Advicey regarding the
Service.
d) You may not assign or transfer your rights under these Terms without
our prior written consent.
